For most private limited companies closing their financial year on 31 March 2026, the annual compliance sequence is simple: complete the accounts, hold the AGM, file the financial statements and then file the annual return.
A company’s first AGM follows the special rule under Section 96. The first AGM is to be held within 9 months from the close of its first financial year. Therefore, the applicable date depends on the company’s incorporation and first financial-year closing date — it should not be assumed from the incorporation date alone.
