Company Registration Fraud in Bangalore – Protect Your Money

BEFORE YOU PAY A REGISTRATION AGENT

Company Registration Fraud in Bangalore: How to Protect Your Money

Paid an advance to register your company, but the agent keeps delaying the work? Received a certificate PDF but are unsure whether your company was genuinely registered? Before paying more, verify the documents, check the MCA records and identify the professional responsible for your application.

Starting a business requires trust. Unfortunately, a convincing website, a low quotation or a promise of quick registration does not prove that a service provider will complete the work.

Some business owners face prolonged delays after paying registration fees. Others receive documents they do not know how to verify, discover that promised filings remain incomplete, or struggle to contact the person who collected their money.

The solution is to verify before you pay, and verify again before accepting the work as complete. Check the company’s incorporation status through the Ministry of Corporate Affairs (MCA), confirm the authenticity of the documents and insist on a clear written scope of service.

At Prakasha & Co, Bangalore, we believe business owners should know who is handling their registration, what work has actually been completed and which documents they are entitled to receive. With over 20 years of professional experience, our team helps businesses understand company registration and corporate compliance requirements before problems become more expensive to resolve.

Three checks every business owner should make

  • Verify the company registration status on the official MCA portal.
  • Check the credentials of the practising Company Secretary, where applicable.
  • Ask recent clients about the provider’s communication, delivery and after-service support.

A Bangalore Business Owner’s Experience: Do Not Trust a PDF Without Verification

A client approached us after engaging another consultant to register a new private limited chit fund company in Bangalore. The consultant had collected the fees, but the registration was delayed for a prolonged period.

After repeated follow-ups and pressure from the client, the consultant eventually provided a PDF showing the proposed new company name, along with an MSME certificate.

The client’s concern was straightforward: Had the company actually been incorporated, or had documents merely been supplied to make the work appear complete?

This experience highlights an important lesson for every entrepreneur. Receiving a PDF, an MSME certificate or a message claiming that registration is complete does not, by itself, establish that a Private Limited Company has been incorporated.

What should you verify?

  • Search the company’s name or CIN on the official Ministry of Corporate Affairs (MCA) portal.
  • Check whether a valid Certificate of Incorporation has been issued and whether the company details match.
  • Verify the company’s current status and available master data.
  • Check separately whether the MSME/Udyam registration details are genuine and match the business concerned.

An MSME/Udyam registration and company incorporation are different registrations. One should never be treated as a substitute for the other.

We share this experience to help business owners make informed decisions before paying a registration agent. The practical lesson is simple: verify the official records, not just the documents delivered by the service provider.

Client confidentiality has been maintained. This account describes the client’s experience as reported to us.

How to Verify a Practising Company Secretary in India

If a service provider says that a practising Company Secretary (PCS) will handle your company registration, ask for the professional’s name, ICSI membership number and Certificate of Practice (COP) details. Do not rely only on a name printed on a quotation or website.

The Institute of Company Secretaries of India (ICSI) provides an official member search facility. You can use it to check the professional’s membership details before engaging the service provider.

Check the professional’s details

  1. Ask for the Company Secretary’s full name and ICSI membership number.
  2. Visit the official ICSI member search facility.
  3. Search the details and check whether the information matches the person you are dealing with.
  4. Ask for the Certificate of Practice details and clarify whether the professional will personally handle or supervise your assignment.
  5. Ensure the engagement letter or quotation identifies the responsible professional and the scope of work.

Official ICSI member search:

Verify ICSI Membership

ICSI states that a member must hold a Certificate of Practice to practise as a Company Secretary. Membership verification is therefore an important check, but it is not a guarantee of service quality or proof that the person named will actually handle your work. Read the official ICSI guidance.

What if the registration agent refuses to identify the professional?

Ask for a written explanation of who is responsible for the incorporation and who will address filing queries or resubmissions. If the provider claims that a practising Company Secretary is involved but will not share verifiable details, pause before making payment.

One more useful check: If you are uncertain about a provider’s track record, request references from companies recently registered through that provider. With the clients’ permission, contact them directly and ask about actual delivery, communication, additional charges and support after incorporation.

At Prakasha & Co, Bangalore, we encourage clients to ask questions and understand the engagement before proceeding. Professional accountability should be clear from the beginning, not after a problem arises.

How to Check Whether Your Company Is Really Registered

Has your consultant sent you a Certificate of Incorporation PDF? Before considering the work complete, independently verify the company’s details on the official Ministry of Corporate Affairs (MCA) portal.

Follow these four steps

  1. Open the official MCA website. Use the government portal rather than an unfamiliar third-party website.
  2. Search the company. Open MCA Services and select the Company/LLP Master Data service. Search using the company name or Corporate Identity Number (CIN).
  3. Compare the details. Check the company name, CIN, incorporation date, registered office and other available master-data particulars against the documents supplied to you.
  4. Check the current status. Confirm the company’s recorded status and review the available filing information where relevant.

What if you cannot find the company?

Do not immediately conclude that fraud has occurred. Check the spelling, proposed name and CIN, and ask the consultant for the actual MCA filing acknowledgement and application status. A name reservation or pending incorporation application is not the same as an incorporated company.

If the company cannot be located and the consultant claims that incorporation is complete, request a satisfactory explanation and supporting records before making any further payment.

One important distinction

MCA master data helps establish the company’s recorded identity and status. It does not, by itself, prove that the consultant is trustworthy, that every promised service has been completed, or that the company has met all its statutory obligations.

Verify both sides of the transaction: the company on the MCA portal and the professional responsible for delivering your service.

Company Registration Fraud in Bangalore: Warning Signs You Should Not Ignore

Before paying a company registration agent, pay attention to how they handle basic questions. These warning signs do not automatically prove fraud, but they should prompt you to verify the facts before proceeding.

1. Pressure to pay immediately

You are asked to transfer money urgently without a written quotation or clear scope of work.

2. No proper invoice or payment receipt

The provider avoids documenting the payment, agreed services or person responsible for the assignment.

3. Repeated delays without filing evidence

Deadlines keep changing, but the provider cannot explain the application status or share available filing acknowledgements.

4. Unverifiable professional credentials

The provider claims professional expertise but will not identify the responsible professional or provide verifiable credentials.

5. Documents that do not match MCA records

The supplied company details differ from official records, or the claimed incorporation cannot be verified.

6. No response after collecting payment

Calls and messages go unanswered, and the provider does not explain what happened to your money or the registration application.

Already Paid an Agent? Take These Steps

  1. Preserve your evidence. Keep payment receipts, bank or UPI transaction details, quotations, emails, WhatsApp messages and documents received.
  2. Request a written update. Ask the provider to confirm the work completed, pending tasks and expected delivery date.
  3. Verify the MCA status. Check the official records and obtain the relevant application acknowledgement wherever available.
  4. Do not pay another provider blindly. First establish whether the existing application can be continued, corrected or otherwise resolved.
  5. Consider formal legal action if necessary. If the provider fails to respond or fulfil the agreed service, a written legal notice may be appropriate, depending on the facts and available evidence.

Need to Send a Legal Notice to the Service Provider?

If you have paid for company registration but the agent has failed to deliver the agreed service, you may need to formally demand completion of the work or seek a refund. The appropriate course depends on the agreement, evidence and circumstances.

Prakasha & Co provides legal notice assistance for appropriate matters. We can review your quotation, payment proof, communications and available MCA records to help assess the next steps.
