10 or More Farmers? We Help You Build the Producer Company Properly
If 10 or more genuine farmers are ready to work together, you can consider forming a Producer Company under the Companies Act, 2013. But the difficult part for many farmer groups is not filling the MCA form. It is getting the farmer documents in order, establishing producer status, arranging the right agricultural proof and understanding what has to be done after the company is registered.
This is where we help. Prakasha & Co. handles Producer Company Registration for farmers from the first discussion to incorporation and continuing compliance — including promoter-document checking, guidance for the Agricultural Officer / farmer certificate where required, DSC, name approval, MOA & AOA, MCA incorporation, Certificate of Incorporation, PAN/TAN and the subsequent annual filings.
10+ Genuine Farmers
The law permits 10 or more individual producers to form a Producer Company. The members should genuinely qualify as producers.
We Check the Farmer Documents
PAN, Aadhaar, address proof, bank records and agricultural or producer-status documents are checked promoter by promoter.
Agricultural Officer Certificate Help
If the farmer group needs agricultural authority confirmation or supporting producer proof, we guide you on the documents and process instead of leaving you to find it out yourself.
Registration + After-Registration Support
Our work does not stop when the Certificate of Incorporation arrives. We can also handle accounting, audit, MCA, income-tax and other applicable yearly compliance.
“Our Farmers Have Documents, But They Are Not Proper. Can We Still Start?”
Do not panic and do not simply replace the farmer with somebody else. This is a common practical problem. One farmer may have an old land record, another may have an address mismatch, another may not have a farmer certificate, and another may have incomplete supporting records.
We first prepare a farmer-wise document checklist, identify exactly what is missing and guide the group on how to complete the documentation. The objective is to build the Producer Company with genuine producer-members and proper supporting records — not merely to collect 10 names for registration.
Tell us the number of farmers, your crop or agricultural activity, location and what you want to do together. We will explain the practical registration route, documents, likely cost and the compliance that follows.

How to Get the Agricultural Officer Certificate for Producer Company Registration
For many farmer groups, this is the step where the registration process becomes confusing. They may have 10 or more farmers ready to join, but they do not know how to prove that the proposed members are genuine agricultural producers or where to obtain the required agricultural authority certificate.
We regularly see this situation with farmer groups and FPO coordinators. The farmers have their Aadhaar and PAN, but their land records, farmer certificate or other agricultural documents may be incomplete, outdated or different from one farmer to another.
Instead of asking the group to simply “get an Agricultural Officer Certificate”, we first look at what each farmer already has. We then identify the appropriate supporting documents and guide the group on the practical process for obtaining the required confirmation from the competent agricultural authority.
Why Is This Certificate Important?
A Producer Company is formed by producers. Section 378C of the Companies Act, 2013 permits 10 or more individuals, each being a producer, to form a Producer Company, subject to the requirements of the Act.
Therefore, the farmer group’s producer status should be properly supported by appropriate records. The Agricultural Officer certificate can form part of that supporting documentation where it is required or appropriate for the particular case.
What Documents May Be Checked?
The exact requirement can vary according to the farmer’s circumstances and the competent authority. Depending on the case, we may review:
- RTC / agricultural land records
- Land ownership or cultivation-related records
- Farmer certificate, if already available
- Aadhaar and identity details
- Address proof
- Details of the agricultural activity or crop
- Other supporting documents available with the farmer
What If the Farmer’s Land Documents Are Not Perfect?
This is common. Do not assume that the farmer has to be removed from the proposed Producer Company immediately.
A farmer may have inherited agricultural land, jointly held land, records that have not yet been updated, an address mismatch or other documentation issues. We first examine the actual position and then tell the farmer what supporting document or clarification may be required.
The important principle is simple: the Producer Company should be built around genuine producers, with proper supporting records. We do not recommend adding relatives or other people merely to complete the minimum number of promoters.
Send us the details of your farmer group. We will first check the available documents and explain what needs to be arranged before moving to incorporation.

Prepare
Once the required producer documents are in place, we proceed with DSC, name approval and incorporation documentation.
Why We Check Farmer Documents Before Filing the MCA Application
In one Karnataka farmer-group case, the promoters initially wanted to proceed with names of relatives who were available to sign the incorporation documents. When we checked the proposed membership, the agricultural connection of some of those individuals was not clear. We advised the group to restructure the promoter list around the actual producer-members and arrange the appropriate supporting records first.
It took some additional coordination at the beginning, but it created a much stronger foundation for the Producer Company. This is why our advice to farmer groups is: do not rush to file simply because 10 signatures are available. First make sure the proposed members and their producer documents make sense.
Want to See What Your Producer Company Documents Look Like?
We have also provided a sample Producer Company Registration Certificate on this page. Seeing the actual documents can make the process much easier to understand for farmers and FPO coordinators.
Important: An Agricultural Officer certificate should not be treated as a single universal document with one identical format throughout India. The supporting evidence and competent authority may depend on the farmer’s circumstances and location. We therefore review the documents first and guide the group based on the actual case.
Producer Company Registration Is Simple – Start With These Documents
If your farmer group is ready, you do not need to understand the entire MCA process. Send us the basic documents of the proposed farmers and your proposed company name. We will check the documents and take the registration process forward.

- Aadhaar Card
- Recent Photograph
- Latest 1-month Bank Statement with address
- Agriculturist proof, wherever required
For the Producer Company Office
- Proposed registered-office address

Tell Us Your Proposed Name

WhatsApp: 70198 27351 crp@prakashaandco.comProducer Company MOA & AOA – What Are These Documents?
Farmers often hear MOA and AOA during registration but may not know what they actually mean. In simple terms, these are the two important documents that define what the Producer Company can do and how it will be managed.
Memorandum of Association
The MOA sets out the foundation of the Producer Company. It includes the company’s name, registered-office state, objects, share capital and subscriber details.
For a farmer group, the objects should reflect the actual agricultural business the members intend to undertake — such as aggregation, procurement, processing, packaging or marketing of eligible produce.
View / Download Sample MOAArticles of Association
The AOA contains the internal rules for running the Producer Company. It deals with matters such as membership, shares, Board functioning, meetings and internal administration.
This is particularly important in a farmer-owned organisation because the company may have many members. Clear internal rules help the members and directors understand how the company is to be managed.
View / Download Sample AOACan You Use These Sample Documents Directly for Registration?
No. The documents provided here are reference drafts to help farmers and FPO coordinators understand the structure of a Producer Company.
Before filing, the objects, subscribers, share capital, registered office, directors and other particulars must be customised to the actual farmer group and proposed business.
A generic MOA or AOA copied from another Producer Company can create problems if it does not correctly reflect your members or proposed activities. We therefore prepare and review these documents before incorporation.
Before finalising the MOA, decide what you actually want the Producer Company to do. If your plan is only collective marketing today but processing, storage or packaging may be added later, discuss the proposed activities before the documents are filed. Proper planning at this stage can avoid unnecessary restructuring later.

What Benefits Can Farmers Get From a Producer Company?
The biggest benefit is not the Certificate of Incorporation. It is the ability to work together as a farmer-owned business. Instead of every farmer buying, selling and negotiating separately, the members can use one company to undertake permitted collective activities.
Sell Together
Farmers can aggregate eligible produce and negotiate with buyers collectively instead of approaching traders separately.
More quantity can improve bargaining power.Reduce Dependence on Middlemen
The Producer Company can create a direct business link between producers and eligible buyers, processors, wholesalers or institutions.
But a higher price is never guaranteed.Process Instead of Selling Raw Produce
A farmer group can explore grading, processing, packaging and value-added products instead of selling everything immediately after harvest.
Example: Ragi → Flour → Packed Product.Build a Common Brand
The farmer-owned company can explore common packaging, branding and marketing for eligible agricultural products.
From individual farmers to one recognised market identity.Collective Infrastructure
Depending on the business and funding eligibility, the company can explore common facilities such as storage, grading, processing and other agricultural infrastructure.
One facility can serve many member farmers.Access Eligible Government Schemes
FPOs and Producer Companies may qualify for certain government programmes, subject to the individual scheme’s eligibility, application process and project requirements.
Registration alone does not guarantee a subsidy.Suppose 50 Ragi Farmers Come Together
The objective is to move from simply selling a raw crop to creating more organised collective business activity. Whether this improves farmer income depends on the crop, market, costs, quality, volume and management of the Producer Company.
Can a Producer Company Get Government Subsidy or Grant?
Potentially, yes — but registration itself does not create an automatic subsidy.
The company must first identify the actual project and then check the eligibility conditions of the relevant government programme.
PMFME
Relevant for eligible food-processing and common-infrastructure projects undertaken by FPOs and other eligible groups. The scheme provides credit-linked capital subsidy for qualifying projects, subject to its conditions.
Agriculture Infrastructure Fund
Can be relevant for eligible agricultural infrastructure such as storage, grading and primary processing. Interest-subvention and credit-support benefits are subject to the scheme requirements.
FPO Support Programmes
Government FPO programmes may provide support for eligible farmer organisations. The applicable scheme, current application status and eligibility should always be checked before making a financial commitment.
Can the Company Give Financial Assistance to Its Farmers?
The Companies Act contains a specific provision under Section 378ZK allowing a Producer Company to provide loans, credit facilities or advances to its members, subject to the applicable conditions.
This does not mean that a Producer Company can operate like a bank or NBFC. Any member lending should be structured within the statutory framework and the company’s genuine producer-related business.
What a Producer Company Does Not Guarantee
Collective selling can improve bargaining power, but the market still determines the actual price.
Each scheme has separate eligibility and application requirements.
A Producer Company remains a company and has annual MCA, accounting, audit and tax obligations.
Finance depends on the project, financial records, repayment capacity, security and the lender’s requirements.
Want to Know Which Benefit Actually Fits Your Farmer Group?
Tell us your crop, number of farmers, district and what you want to build — collective marketing, processing, storage, packaging or another agricultural activity. We can first look at the business requirement and then discuss the appropriate Producer Company structure and eligible schemes.

We Don’t Leave You After Incorporation
Many farmer groups complete registration but later struggle with accounts, audit and MCA deadlines. We can continue to support the Producer Company every year so that the directors can concentrate on the actual farmer business.

WhatsApp: 70198 27351 crp@prakashaandco.comProducer Company Registered – What Must Be Done Next?
Getting the Certificate of Incorporation is only the beginning. The first few compliance steps should be completed properly so that the company starts its operations without creating problems later.
Open Company Bank Account
Open the bank account in the Producer Company’s name and keep company transactions separate from the promoters’ personal accounts.
Collect & Record Share Money
Members bring in their agreed share capital. Keep the share application, payment proof and share-money records properly maintained.
File INC-20A
Where applicable, complete the commencement of business declaration in Form INC-20A within the prescribed time after the required share subscription money is received.
Appoint Auditor – ADT-1
Complete the statutory auditor appointment and the applicable ADT-1 filing within the prescribed period.
Start Proper Books
Maintain accounts, farmer/member records, purchase and sales records, bank entries and other business documents from the beginning.
Then Keep the Yearly Compliance Simple
During the year, maintain the accounts and applicable GST/TDS records. At year-end, complete the audit, financial statements, AGM, AOC-4, annual return, Income-tax return and applicable MCA filings.
We can handle these compliances for the farmer group at a farmer-friendly annual fee from ₹12,000 onwards, depending on the company’s transactions and applicable requirements.
Bank account → Share money → INC-20A → Auditor / ADT-1 → Accounting → Year-end audit & filings.
Do these basics from the beginning and the Producer Company is much easier to manage later.
Government Grants, Subsidies & Finance for Producer Companies
A Producer Company can make a farmer group eligible to explore certain government schemes and institutional finance. But registration itself does not guarantee a subsidy or grant. The actual farmer group, project and scheme eligibility must be checked separately.
PMFME
Useful for eligible food-processing and common-infrastructure projects such as grading, storage, processing and packaging.
Eligible projects may receive 35% credit-linked subsidy.Agriculture Infrastructure Fund
Can support eligible agricultural infrastructure such as warehouses, storage, grading and primary processing.
Eligible loans can receive 3% interest subvention, subject to scheme conditions.FPO Support
Government FPO programmes may provide support for eligible farmer organisations, including management and equity-related assistance.
Availability and eligibility must be checked at the time of application. If someone says, “Register a Producer Company and you will automatically receive ₹15 lakh,” do not rely on that statement. We first check the current scheme, eligibility, project and application status.
5 Common Mistakes Farmers Should Avoid
Most problems do not happen because Producer Company registration is complicated. They happen because the farmer group rushes into registration without checking the basics first.
Adding Non-Farmers Just to Reach 10
Do not add relatives or friends merely to complete the minimum number. The promoters should genuinely satisfy the applicable producer requirements.
Ignoring Farmer Documents
Check land, farmer and identity documents before filing. A missing document can delay the entire group.
Copying a Generic MOA
The MOA should reflect what your farmer company actually plans to do. Do not blindly copy another Producer Company’s objects.
Believing “Registration = Subsidy”
Government support is scheme-specific. First identify the project, then check the applicable scheme and eligibility.
Forgetting Yearly Compliance
Registration does not end the responsibility. Accounts, audit, AGM, MCA and income-tax filings must be planned every year.
Producer Company Registration – Frequently Asked Questions
Short answers to the questions farmers and FPO coordinators commonly ask before starting a Producer Company.
Can 10 farmers form a Producer Company?
Yes. The Companies Act permits 10 or more individual producers to form a Producer Company, subject to the applicable requirements. There is no statutory upper limit on the number of members.
Is there any good professional who can register our Producer Company at a reasonable fee?
Yes. We provide a farmer-friendly registration package from ₹10,000 professional fee onwards, with government charges and DSC costs explained separately. More importantly, we help with farmer-document checking and producer-status documentation rather than only filling the MCA form.
How much does Producer Company registration cost?
Our professional fee starts from ₹10,000 onwards. DSC charges, applicable MCA/government fees and stamp duty are additional and depend on the promoters and capital structure.
How do we get the Agricultural Officer Certificate?
We first check the farmers’ available land, farmer and supporting documents and then guide the group on the appropriate agricultural authority and producer-status proof required for the particular case. The format and issuing authority can vary by location and circumstances.
What if some farmers do not have proper land documents?
Do not immediately remove the farmer. We first review the available records and identify what additional proof or clarification may be required. The important point is that the proposed members should genuinely satisfy the applicable producer requirement.
How long does Producer Company registration take?
A practical target is around 10 working days from name approval when the documents, DSCs and producer proof are ready. MCA queries, name objections or document issues can increase the actual time.
Is FPO the same as a Producer Company?
Not exactly. FPO means Farmer Producer Organisation, while a Farmer Producer Company (FPC) is a common company structure used to organise producers under the Companies Act.
Will registering a Producer Company automatically give us a government subsidy?
No. Registration creates the legal entity. Grants, subsidies, interest support and credit facilities depend on the particular government scheme, project, eligibility and application process.
What benefits can farmers get from a Producer Company?
Farmers can use the company for collective procurement, aggregation, grading, processing, packaging, marketing and selling of eligible produce. It can also help the group explore eligible government schemes, institutional finance and member-oriented benefits.
Can a Producer Company give loans to its farmer members?
Section 378ZK provides a framework for loans, credit facilities and advances to members, subject to the applicable conditions. A Producer Company should not be treated as a bank or NBFC.
What are the yearly compliances of a Producer Company?
The company needs proper accounts, applicable audit, AGM, financial statement and annual-return filings, income-tax compliance and other applicable MCA, GST and TDS compliances.
How much does yearly Producer Company compliance cost?
For a small Producer Company with limited transactions, our farmer-friendly annual compliance support starts from approximately ₹12,000 onwards. The final fee depends on turnover, transactions, accounting, audit, GST/TDS and other applicable work.
